Terms of Service

AgentixFlo (soon to be rebranded as AgentixGo) is operated by Jonathan Valania ("we", "us", "our", the "Seller"). By using the Platform you are entering into an agreement with Jonathan Valania.

1. Acceptance of Terms

By accessing or using AgentixFlo ("the Platform"), operated by Jonathan Valania (soon trading as AgentixGo), you agree to be bound by these Terms of Service. If you do not agree to all terms, you may not use the Platform.

2. Payments & Payment Processor

The Seller is the merchant for all purchases made on the Platform and is responsible for the sale of subscriptions, billing, invoicing, tax collection where applicable, customer support, and refunds in accordance with our Refund Policy. Payment processing is provided by Stripe, Inc. ("Stripe"). By submitting payment information you authorize Stripe to process your payment on our behalf. Your use of Stripe's payment services is also subject to Stripe's Services Agreement and Privacy Policy. Card and bank details are collected and stored directly by Stripe; we never see or store your full card number.

3. Description of Service

AgentixFlo is an autonomous AI-powered advertising platform that provides campaign creation, creative generation, optimization, analytics, and reporting across multiple advertising networks including Meta, Google, TikTok, Snapchat, Pinterest, and connected TV (CTV).

4. Account Registration

To use the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

5. Subscription & Billing

Access to the Platform requires a paid subscription. By subscribing, you authorize us (via our payment processor, Stripe) to charge the payment method on file at the beginning of each billing cycle and to charge any usage-based fees as they accrue. Subscriptions renew automatically until canceled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period. Prices are shown exclusive of applicable taxes (sales tax, VAT, GST), which will be added at checkout where required. Refunds are available under our Refund Policy (30-day money-back guarantee). We reserve the right to modify pricing with 30 days' written notice.

  • Standard Plan: $99/month or $990/year, plus 5% of managed ad spend billed monthly
  • Agency/Enterprise Plan: Custom pricing based on volume and white-label requirements

6. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws
  • Upload or distribute malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with or disrupt the integrity or performance of the Platform
  • Resell, sublicense, or redistribute the Platform without a white-label agreement
  • Use the Platform to create deceptive, misleading, or fraudulent advertising
  • Submit fraudulent payment information or initiate unjustified chargebacks

7. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to software, text, graphics, logos, and AI models — are owned by Jonathan Valania (AgentixFlo / AgentixGo) and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you create using the Platform (creatives, campaigns, reports).

7a. AI-Generated Content — Acceptable Use

The Platform generates ad creatives, copy, images, and video using artificial intelligence. You agree not to use the AI features to generate content that is illegal, deceptive, defamatory, sexually explicit, hateful, infringes third-party intellectual property, depicts real individuals without consent (including deepfakes), or attempts to jailbreak or circumvent safety controls. You are responsible for your prompts, for verifying the accuracy of outputs, for ensuring you have rights to any input content, and for reviewing and approving all AI-generated content before it is published. AI outputs may be inaccurate and are not a substitute for professional advice. We may remove, restrict, or refuse outputs and may suspend accounts that repeatedly infringe third-party rights or violate this section. Rights-holders can submit takedown requests to support@aisoiq.com.

8. AI-Generated Content

The Platform uses artificial intelligence to generate ad creatives, copy, video, and campaign recommendations. While we strive for accuracy and quality, AI-generated content may require review before publication. You are solely responsible for reviewing and approving all content before it is published to any advertising platform.

9. Third-Party Integrations

The Platform connects to third-party advertising platforms (Meta, Google, TikTok, etc.). Your use of those platforms is subject to their respective terms of service. We are not responsible for changes, outages, or policy violations on third-party platforms. You are responsible for ensuring your advertising complies with each platform's advertising policies.

10. Data & Privacy

Your use of the Platform is also governed by our Privacy Policy. We process data in accordance with applicable data protection laws. Client data is isolated per account and encrypted at rest and in transit.

11. White Label Partners

If you are a white-label partner, additional terms may apply as outlined in your Partner Agreement. White-label partners may rebrand the Platform under their own name and domain. The underlying technology, AI models, and infrastructure remain the property of the Seller.

12. Chargebacks & Disputes

If you believe a charge is incorrect, please contact us at support@aisoiq.com before initiating a chargeback with your bank or card issuer. We will work in good faith to resolve any billing issue promptly. Initiating a chargeback for a valid charge may result in suspension or termination of your account.

13. Limitation of Liability

To the maximum extent permitted by law, Jonathan Valania (AgentixFlo / AgentixGo) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Jonathan Valania (AgentixFlo / AgentixGo) and any agents, employees, or contractors from any claims, damages, losses, or expenses arising from your use of the Platform, your advertising content, or your violation of these Terms.

15. Termination

We may suspend or terminate your access to the Platform at any time for: (a) material breach of these Terms, (b) non-payment or chargeback abuse, (c) security or fraud risk, or (d) repeated or serious violations of the acceptable-use rules in sections 6 and 7a. Upon termination, your right to use the Platform ceases immediately. We will make your data available for export for 30 days following termination.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform with at least 14 days' notice. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Iowa, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Black Hawk County, Iowa.
